1. Acceptance of these terms

This website is operated by Internet Content Group (“Internet Content Group”, “we”, “us” or “our”). By accessing or using the site, you agree to be bound by these terms of use and by our privacy policy. If you do not agree, do not use the site.

If you use the site on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these terms, and “you” refers to both you and that organisation.

2. Who may use the site

The site is intended for business users aged 18 or over. Internet Content Group sells wholesale, to businesses purchasing for resale or commercial use. Nothing on the site constitutes an offer to sell to consumers.

3. Information is not an offer

Product listings, brand references, descriptions, availability statements and any indicative pricing on this site are provided for general information. They do not constitute a binding offer to sell.

A binding agreement is formed only when we issue a written quotation or order confirmation and you accept it in accordance with our terms of sale. Availability, specifications and pricing are subject to change without notice, and products shown may be discontinued or unavailable at any time.

4. Acceptable use

You agree not to:

• use the site for any unlawful purpose or in breach of any applicable law or regulation;
• attempt to gain unauthorised access to the site, its server, or any connected system or network;
• introduce malware, viruses or any other harmful code;
• use automated systems, scrapers, robots or data-mining tools to extract content from the site except for standard search engine indexing;
• impose an unreasonable load on our infrastructure, including through denial-of-service activity;

You may view the site and print or download extracts for your own internal business use in evaluating a purchase. You may not otherwise copy, modify, distribute, publish, frame, mirror or create derivative works from any part of the site without our prior written consent.

6. Third-party trademarks

Product names, brand names and logos belonging to manufacturers — including but not limited to Maxi-Cosi, Tiny Love, Safety 1st, Graco, Chicco, Evenflo and Fisher-Price — are the trademarks or registered trademarks of their respective owners. They appear on this site to identify merchandise that Internet Content Group offers at wholesale.

Their appearance does not indicate any sponsorship, affiliation, partnership or endorsement by the trademark owners, and Internet Content Group claims no rights in them. If you are a rights holder and have a concern about how a mark is displayed here, contact us and we will respond promptly.

7. Your submissions

When you send us an enquiry, requirement list, feedback or other material, you grant us a non-exclusive, royalty-free licence to use it for the purpose of responding to you and operating our business. You are responsible for ensuring you have the right to share anything you send us, and for not sending confidential information you do not want us to hold. Do not send payment card numbers or bank credentials by unencrypted email.

8. Links to other sites

The site may contain links to third-party websites, including manufacturer pages and carrier tracking services. Those sites are not under our control. We provide the links for convenience and do not endorse, and are not responsible for, their content, products or privacy practices.

9. Availability of the site

We aim to keep the site available but do not guarantee uninterrupted access. We may suspend, withdraw or restrict all or part of the site for maintenance, upgrades or business reasons without notice and without liability.

Product images and descriptions are supplied by manufacturers and may not reflect the exact item shipped.

11. Limitation of liability

To the fullest extent permitted by law, Internet Content Group and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your use of, or inability to use, the site — whether based in contract, tort, negligence, strict liability or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to your use of the site will not exceed one hundred United States dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you. Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Indemnification

You agree to indemnify and hold harmless Internet Content Group and its officers, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of your use of the site, your breach of these terms, or your violation of any law or the rights of a third party.

13. Governing law and venue

These terms and any dispute arising out of or relating to them or to the site are governed by the laws of the State of California, without regard to its conflict of law rules. You agree that the state and federal courts located in Los Angeles County, California have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.

14. Changes to these terms

We may revise these terms at any time by posting an updated version on this page. The effective date at the top shows when the current version took effect. Your continued use of the site after a change takes effect constitutes acceptance of the revised terms.

15. General

• Entire agreement. These terms, together with the privacy policy, are the entire agreement between you and us regarding use of the site.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
• Precedence. Where these terms conflict with our terms of sale in relation to a purchase, the terms of sale prevail for that purchase.
